- Position and Responsibilities.
The Company hereby employs the Employee, and the Employee hereby agrees to be employed by the Company, as Executive Transition Advisor ofthe Company. During the Employees employment with the Company, the Employee shall do and perform all services and acts necessary or advisable to fulfill the duties and responsibilities consistent with the Employees position (the Services) and shall render the Services on the terms set forth herein. During the Employees employment with the Company, the Employee shall report to the Chief Clinical Officer.
The Employee shall be responsible for the duties set forth in Exhibit A, which may be amended from time to time, plus such other duties as may from time to time be assigned to the Employee by the Chief Clinical Officer.
The Employee shall devote best efforts and substantially all of the Employees working time and attention to the business and affairs of the Company and its affiliates, as its business and affairs now exist and as they hereafter may be changed. During the Employment Period, the Employee may not engage, directly or indirectly, in any other business activity, regardless of whether it is pursued for gain or profit.
The Executive Transition Advisor shall be responsible for supporting the successful transition of Hospice of the Siouxland's hospice operations to St. Croix Hospice, including, but not limited to advising on historical hospice operations and community partnerships.
