Job Position: Real Estate Corporate Paralegal
Salary: $60-80k
Responsibilities:
• Preparing real estate-related documents such as deeds, change of ownership forms, title affidavits, deeds of trust, promissory notes
• Formation of new entities, predominantly in California and Delaware, including state filings, obtaining EINs, preparing LLC/stock certificates and securities filings (including SEC Form D filings)
• Maintaining corporate records including various Board meeting materials, minutes/consent resolutions and membership schedules
• Creating and maintaining schedules of investors with investment details and preparing subscription documentation for private offerings
• Working closely with attorneys on all transactions including preparing and maintaining closing checklists, ordering due diligence searches and good standing certificates, drafting consent resolutions, preparing escrow instructions, coordinating signatures, and assembling closing binders
• Redlining and revising documents as directed by attorney via markups and dictation
• Coordinating signatures on documents in person or via DocuSign
• Analyzing title documents
• Answering client questions regarding transactions and entity formation/information
• Working with other members of the legal team on special projects and initiatives
• Updating and maintaining information in document management system and on various spreadsheets, binders, etc.
Requirements:
• Post-bachelor's degree paralegal certification with a real estate focus preferred
• A minimum of five years' experience as a real estate / corporate paralegal
• Extensive knowledge of real estate and corporate documents, applications and submissions
• Competency in legal software such as ProLaw; also Word and Excel
• Superb organizational, time management and multitasking skills
• Excellent collaboration and communication abilities
• Keen attention to detail
• Ability to work in a fast-paced environment
• Ability to transcribe dictation
• Current Notary Public commission or ability to obtain Notary Public commission preferred
